Commercial terms

Contractual documents and order of precedence

This Order Form, the Terms of Use and Subscription Service and the Data Processing Agreement (DPA) constitute the Agreement. The optional Individually Negotiated Liability Annex forms part of it only if it is stated below that it applies and has in fact been the subject of separate individual negotiation.

In case of conflict, the DPA prevails for the processing of personal data, this Order Form for the specific commercial details, and the general Terms follow. The Privacy and Cookie Policies are informational texts and do not expand the scope of the service.

Subject matter and activation

The Provider makes available only the modules and limits stated above. A function, integration, migration, training, response time or availability level, or anything not expressly stated, is not deemed agreed.

Activation of the subscription does not constitute confirmation that the Customer has fulfilled its own professional, clinical, tax or regulatory obligations. Entry of patient data begins only after the DPA has taken effect.

Where fields for health data are activated, the Customer, as Controller, declares that before the first entry it has separately identified and documented the legal basis under Article 6 and the specific applicable exception under Article 9(2) GDPR, as well as lawful authority to represent minors. Technical activation by the Provider does not constitute legal review or certification of those conditions.

Term, renewal and price

The term, renewal, price, VAT and payment method are exclusively as recorded above. The Subscription renews at the end of each period unless the Customer gives notice of non-renewal at least 30 days before the end of that period. There is no automatic card charge; the renewal is invoiced and paid via a payment link.

An additional charge or overage is imposed only if agreed in writing. A price-list change does not affect an already prepaid period.

Payment delay

On an overdue debt the Provider notifies the Customer and affords a period for settlement of the debt within 15 days. After unused expiry of that stated day, the Provider may suspend access in accordance with the general Terms, without waiver of the debt and with retention of data in accordance with the DPA.

Special terms and individual negotiation

Special terms of the specific subscription: SMS: the Provider covers up to 100 SMS per month per subscription; additional SMS are charged only upon written agreement. 2026 introductory offer: €100 / month incl. VAT · €80.65 / month excl. VAT · VAT 24% €19.35, or annual 12+2 free months (€1,200 incl. VAT · €967.74 excl. VAT · VAT 24% €232.26), free setup, renewal at no extra cost, free upgrades, and no per-doctor or per-patient charge, for new subscriptions starting within 2026. 12+2 applies to new subscriptions starting in 2026. Individually Negotiated Liability Annex applies: NO

Mere selection of a subscription package, receipt of a document or electronic acceptance of a pre-formulated term does not prove individual negotiation.

Electronic acceptance and evidence

Before acceptance the Customer may review and correct the details and open and store the contractual texts. The Agreement is formed when the Customer or an authorised representative selects the final acceptance field and the application successfully records the event.

The Provider may retain, for evidential and security purposes, the order identifier, the account, the timestamp, the versions of the accepted texts and the related technical footprint. These elements are assessed together with any other means of evidence and do not constitute an irrebuttable presumption.
